Standalone or Integrated

We offer design as a standalone service (for clients with their own developers) or as part of a full-stack engagement where we design and build. Either way, you leave with production-ready design files.

These terms govern your engagement with MTW Software & Development Agency Limited ("MTW", "we", "us") and the services we provide. By engaging our services, you agree to these terms.

1. Scope of Services

MTW provides software development, design, and related technology services as agreed in individual project scopes. All deliverables, timelines, and costs are confirmed in a written proposal before work commences.

2. Client Obligations

Clients are expected to: provide timely feedback within agreed review windows; supply all necessary assets, credentials, and access in a timely manner; nominate a single point of contact for project decisions; and ensure that any third-party content provided does not infringe third-party rights.

3. Payment Terms

A deposit (typically 40–50% of project value) is required before work begins. Milestone payments are structured as agreed in the proposal. Final deliverables are released upon receipt of final payment. Late payments attract a 5% monthly charge.

4. Revisions & Scope Changes

Revision rounds included in the project scope are defined in the proposal. Changes outside the agreed scope are treated as new scope and priced accordingly. MTW will issue a change order for client approval before additional work begins.

5. Warranty

MTW warrants that deliverables will conform to the agreed specifications for 30 days post-launch. Bugs attributable to our code will be fixed at no additional cost within this period. Warranty does not cover issues arising from client modifications, third-party integrations, or hosting environment changes.

6. Limitation of Liability

MTW's total liability to any client shall not exceed the total fees paid for the relevant project. We are not liable for indirect, consequential, or lost-profit damages.

7. Governing Law

These terms are governed by the laws of Kenya. Disputes shall be resolved through the courts of Kiambu County, Kenya, or through mutual agreement to mediation.

What We Don't Do

Data Retention

Client data is retained for 5 years post-project for legal and accounting purposes, after which it is securely deleted. Enquiry data from non-converting contacts is deleted within 12 months.

Your Rights

Security

We implement appropriate technical and organisational measures to protect personal data. However, no internet transmission is 100% secure, and we cannot guarantee absolute security.

We understand that circumstances change. This policy is designed to be fair to both parties when a project needs to be paused or terminated.

Client-Initiated Cancellation

• Before work begins: Full deposit refund minus a 10% administrative fee
• Within first two weeks: 50% of deposit refunded; remaining covers work completed and resources allocated
• After two weeks: No refund on work completed. Client receives all deliverables and work-in-progress to date
• After milestone payment: That milestone payment is non-refundable; all deliverables for that milestone are provided

MTW-Initiated Cancellation

MTW reserves the right to cancel engagements where: the client has materially breached these terms; the project requires MTW to act unethically or illegally; or payment obligations remain unmet beyond 30 days. In such cases, clients receive all completed deliverables and a pro-rated refund for unstarted work.

Project Pause

Projects may be paused by mutual written agreement. If a pause extends beyond 60 days, MTW reserves the right to treat the engagement as cancelled under the terms above, or to re-quote for resumption if significant time has elapsed.

How to Cancel

Cancellation requests must be submitted in writing to Techsolutionmt7@gmail.com. The effective date is the date of written receipt.

Clarity on intellectual property prevents disputes. This policy sets out who owns what at every stage of an engagement.

Client-Owned on Full Payment

Upon receipt of final payment, the client receives full ownership of all custom code, designs, and creative assets produced specifically for their project. This includes source files, databases, and documentation.

MTW Retained Rights

MTW retains ownership of: pre-existing tools, libraries, and frameworks used in the build (shared as licensed components); general methodologies and know-how; and the right to showcase the project in our portfolio unless the client requests otherwise in writing.

Third-Party Components

Projects may incorporate open-source libraries, stock assets, or licensed third-party software. MTW will disclose all such components and their licences. The client is responsible for maintaining any required ongoing licences post-delivery.

Pre-Payment

Prior to full payment, all work remains the intellectual property of MTW. Clients may not use, distribute, or deploy partially-paid work without written permission.

Confidentiality

MTW treats all client project information as confidential. We do not disclose proprietary business logic, data, or strategy without explicit written permission. Clients may request an NDA for sensitive engagements.

Our refund policy is built on the principle that you should pay for value received, and we should be accountable when we fall short.

When Refunds Apply

• MTW fails to deliver agreed milestones within agreed timelines without valid cause
• Delivered work materially fails to meet agreed written specifications
• MTW initiates cancellation without cause attributable to the client

Refund Amounts

Refunds are calculated on a pro-rata basis for work not yet completed or delivered. Where deliverables have been provided but found deficient, MTW will first offer to remedy the deficiency. Refunds are considered where remedy is not possible or not achieved within a reasonable timeframe.

What Is Not Refundable

• Work completed and delivered per specification
• Third-party costs (hosting, licensing, software subscriptions) paid on the client's behalf
• Work affected by client-caused delays or changes in scope

Process

Refund requests must be submitted in writing within 30 days of the triggering event. We aim to resolve refund disputes within 14 business days of acknowledgement.
